Introduction & Acceptance

These Terms and Conditions (“T&Cs”) govern the relationship between The K Network LTD (trading as “K Music 323”) and any artist, producer, or contributor (“Artist”) who uploads or submits content (“Content”) to K Music 323’s platforms.
By uploading or submitting Content, the Artist confirms acceptance of and agreement to these T&Cs in full.

A. Grant of Rights

By uploading Content, Artist grants to The K Network LTD (trading as “K Music 323”) a non-exclusive, worldwide, royalty-bearing (if Artist selects a higher package) or royalty-free (if Artist selects a standard package) license to copy, reproduce, distribute, publicly perform, stream, display, adapt, sublicense, and otherwise use and monetize the Content on K Music 323’s platforms, partner platforms (including YouTube and social channels), and in promotional materials and DJ mixes for the purposes of promotion, distribution, and advertising.

This license includes the right to create excerpts, edits, and promotional clips and to use Artist’s name, likeness, and biographical information in connection with the Content. Except as set out in a separate written agreement between Artist and K Music 323, this license is perpetual for content already published on K Music 323’s channels but may be terminated prospectively by either party in accordance with the Termination clause.

B. Ownership

Artist retains all copyright and moral rights in the Content, subject to the license granted above. Nothing in these T&Cs transfers ownership of the underlying musical composition or sound recording to K Music 323.

C. Monetisation, Packages and Payments

1. Packages:
   K Music 323 will offer tiered packages (Standard/Free, Bronze, Silver, Gold). The royalty rates, pricing, and availability of packages are subject to change and will be displayed on the website. Paid packages require a separate order and/or written confirmation.

2. Royalty Payment Terms (applicable only where a higher package applies or where a separate revenue-sharing contract is signed):
   Royalties will be calculated quarterly (calendar quarters: Jan–Mar, Apr–Jun, Jul–Sep, Oct–Dec). Royalties will be payable on the last working day of the month following the end of each quarter (e.g., payments for Jan–Mar will be paid on the last working day of April).

Payouts are subject to a minimum quarterly threshold of £500; amounts below the threshold will roll forward to the next quarter. Payment methods: PayPal or bank transfer (bank transfers incur a 1% administrative fee). Artist is responsible for providing and maintaining accurate payment details; K Music 323 is not responsible for payment delays caused by incorrect account details.

1. Current Operations:
   At present, K Music 323 is accepting uploads under the Standard/Free package only. Paid packages and royalty distribution will be offered at a later date and subject to separate documentation.

D. Upload Rules & Prohibited Content

Artist must provide accurate metadata (artist name, title, composers, contributors, release date, territory restrictions, and ISRC if available). Accepted file formats and delivery specs will be made available on the upload page.

Artist must not upload content that:

• (i) infringes another person’s rights;

• (ii) contains hateful, pornographic, or illegal material;

• (iii) violates any third-party license or right of publicity.

K Music 323 reserves the right to remove content that breaches these rules.

E. Representations & Warranties

By uploading, Artist represents and warrants that:

(a) Artist is the owner of the Content or has been duly authorized by all rights holders to grant the license.
(b) The Content does not infringe any third-party rights (including copyright, performance rights, moral rights, or contractual rights).
(c) Any samples, third-party recordings, or compositions contained within the Content have been cleared for the uses contemplated hereunder.
(d) Artist has the right to use the names, likenesses, or other personal data of any individuals featured in the Content.

F. Indemnity

Artist will indemnify, defend, and hold harmless K Music 323, its affiliates, partners, and sublicensees from and against any losses, damages, liabilities, costs, and expenses (including legal fees) arising from any claim that the Content or Artist’s breach of these T&Cs infringes a third party’s rights or breaches a law.

G. DMCA / Takedown & Counter-Notice Procedure

K Music 323 respects third-party rights and will respond to valid takedown notices.

If you believe Content on our service infringes your copyright, please send a written notice to

with the information required by applicable law (identification of the copyrighted work, location of the infringing material, a statement of good-faith belief, and contact details).

For U.S. takedown notices, we will follow the procedure in Section 512 of Title 17 of the U.S. Code.
Counter-notices will be handled in accordance with applicable law.
K Music 323 may forward notices to the uploader and may remove Content pending resolution.

H. Minors & Eligibility

Artist must be at least 18 years old to accept these T&Cs.
If Artist is under 18, a parent or legal guardian must accept these T&Cs and sign on the Artist’s behalf.
K Music 323 may require verification to confirm age or capacity.

I. Moral Rights & Attribution

Where moral rights apply and cannot lawfully be waived, Artist retains moral rights (including the right of attribution and integrity) to the extent required by local law.
K Music 323 will provide reasonable credit for the Artist in metadata and displayed credit where practicable, subject to platform limitations and metadata provided by the Artist.

J. Taxes and Withholding

Artist is responsible for all taxes arising from payments they receive.
To the extent required by applicable law, K Music 323 may withhold taxes on payments to non-resident artists and will provide withholding information upon request.
Artists are responsible for providing necessary tax documentation.

K. Collecting Societies / Performance Rights

If Artist is a member of a collecting society (e.g., PRS for Music, PPL, or an equivalent outside the UK), the collecting society may be entitled to collect royalties for public performance and broadcasting separate from any payments by K Music 323.

Artist must notify K Music 323 if they have assigned any rights to a collecting society.
Artist confirms that the platform’s use does not conflict with any membership or assignment to a collecting society.

L. Termination and Effect of Termination

Either party may terminate these T&Cs in accordance with the stated termination provisions.
Termination will end the license prospectively; however, K Music 323 may retain copies of Content as required by law and/or for archival or administrative purposes.

Published Content already distributed to third-party platforms may remain available in accordance with those platforms’ policies unless a separate removal obligation is agreed.

M. Dispute Resolution & Governing Law

These T&Cs are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts, except where statutory or mandatory local rules apply to an Artist in another country.

N. Future / Crypto Payments

If K Music 323 later offers crypto or “Koin” payments, specific terms for wallet verification, KYC, tax treatment, and transferability will be provided.
Crypto payments may require additional KYC/AML checks and may be subject to local regulation.

O. Limitation of Liability

To the fullest extent permitted by law, The K Network LTD (trading as K Music 323) shall not be liable for any indirect, incidental, consequential, or special damages arising out of or relating to the use of its services, including but not limited to lost profits, lost data, or interruption of service.

Nothing in these T&Cs limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

K Music 323 reserves the right to update or modify these T&Cs from time to time.
Any updates will be posted on this page with a new “Last Updated” date.
Continued use of the platform after such updates constitutes acceptance of the revised terms
